Tata Capital, the non-banking financial arm of the Tata Group, is preparing for one of the largest IPOs in August 2025, expected to raise around ₹17,200 crore. The company has begun global and domestic investor roadshows to generate interest ahead of the highly anticipated public offering.

The IPO will include a fresh issue of up to 21 crore equity shares and an Offer for Sale (OFS) of approximately 26.58 crore shares. Tata Sons, the promoter, plans to offload up to 23 crore shares, while the International Finance Corporation (IFC) is expected to sell close to 3.58 crore shares as part of the OFS.

The fresh capital raised will be primarily used to strengthen Tata Capital’s Tier-1 capital base to meet regulatory requirements and support loan book expansion. With a strong parentage, diverse lending portfolio, and ongoing digital transformation, Tata Capital is expected to attract a wide range of investors.

The IPO launch is anticipated by September 2025, following regulatory clearances and the completion of investor roadshows in key financial hubs, including Hong Kong, Singapore, the UK, the US, and India.

Currently, Tata Capital serves approximately 7 million customers through 1,496 branches across 1,100+ locations, with a loan book valued at ₹2.26 lakh crore as of March 2025. The company reported a 10% increase in net profit to ₹3,665 crore in FY25 and a 57% growth in operational revenue.

Market experts view the Tata Capital IPO as a landmark listing for the financial services sector in 2025, expected to strengthen the company’s capital position and lending capabilities while fulfilling RBI regulations for upper-layer NBFCs.

Investors are advised to watch for official announcements regarding IPO opening dates and the price band in the coming weeks.
